1. Introduction and Acceptance of Terms
These Terms and Conditions (“Terms”) govern your use of the website, mobile applications and services (collectively, the “Services”) provided by Xcedi.com (“Xcedi”, “we”, “us” or “our”). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy and Return & Refund Policy. If you do not agree, do not access or use the Services.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts under the laws of your jurisdiction. By placing an order, you represent that you meet these requirements.
3. Account Registration and Security
You may need to create an account to access certain features. You agree to provide accurate, current and complete information and to keep your credentials confidential. You are responsible for all activities that occur under your account. Notify us immediately of unauthorised use.
4. Product Information and Availability
We strive to display accurate descriptions, images, prices and availability. However, product images are for illustrative purposes and colours or packaging may vary. Pricing and availability information may change without notice. Under Act 772, we must provide the full price of goods or services, including taxes and delivery costs, and disclose payment methods and delivery times nita.gov.gh.
Stock Status Disclaimer
While we make reasonable efforts to ensure inventory information is accurate, items listed as “in stock” may, on rare occasions, be unavailable. Inventory status displayed on the website may not reflect real‑time stock levels. If an ordered item is out of stock, we will notify you and may offer alternatives, a back‑order or a cancellation. You agree that Xcedi will not be liable for any loss arising from inaccurate stock status, and you may not hold us responsible for items that become unavailable between the time you place your order and when we process it.
Out‑of‑Stock Items and Refunds
Despite our efforts to maintain accurate stock information, an item you order may occasionally become unavailable before we process your order. If we cannot fulfil an order due to stock unavailability, we will notify you as soon as possible. In such cases:
- We may offer a suitable alternative product, a back‑order option or cancellation.
- If you choose to cancel the order or decline an alternative, we will refund any payment you have made. Refunds will be issued to your original payment method or another preferred payment mode where technically feasible.
- Refunds will be processed promptly and, in any case, within seven (7) working days of notifying you that the item is unavailable, in accordance with the Electronic Transactions Act gov.gh.
- com is not liable for any additional expenses or losses arising from stock unavailability beyond refunding the purchase price.
5. Order Process and Contract Formation
- Placing an order – When you place an order through our Services, you make an offer to purchase the items subject to these Terms.
- Order confirmation – We will send an order confirmation email acknowledging receipt. This acknowledgment does not constitute acceptance of your offer.
- Acceptance – A contract is formed only when we dispatch the goods and send you a dispatch confirmation. We reserve the right to cancel or refuse any order for any reason (e.g., suspected fraud, pricing errors, unavailability of product).
- Right to cancel – Under Act 772, if we fail to provide mandatory information (price, payment, delivery time, return policy etc.) before you place the order, you may cancel the contract within fourteen days of receiving the goods and we must refund your payment within 30 days gov.gh. Nothing in these Terms affects statutory cancellation rights.
6. Pricing and Payment
Prices are listed in Ghanaian Cedi (GHS) unless stated otherwise. We endeavour to ensure prices are accurate; however, errors may occur. If we discover a pricing error, we will notify you and offer you the option to proceed at the correct price or cancel the order. Prices exclude shipping and handling costs, which will be added at checkout. You must pay for your order using the payment methods offered at checkout.
7. Shipping and Delivery
We will display estimated delivery times and shipping costs during checkout. Delivery times are estimates and not guaranteed. Title and risk of loss pass to you when we deliver the goods to the carrier. We are not liable for delays caused by customs clearance, carrier delays or events beyond our control.
8. Returns, Refunds and Exchanges
Our Return & Refund Policy describes how you may return products. In summary, you may return unused items in their original packaging within seven days of receipt, accompanied by your original invoice, to receive store credit. We do not offer cash or mobile‑money refunds. See the policy for full details. As required by the Electronic Transactions Act, we provide a clear return, exchange and refund policy nita.gov.gh.
9. Intellectual Property
All content on the Services—including text, graphics, logos, images, audio clips, video, software, and designs—is owned by or licensed to Xcedi and protected by copyright and other laws. You may not reproduce, modify, distribute, transmit, or otherwise exploit any content without our prior written consent.
10. User Conduct
You agree not to:
- Violate any applicable laws or regulations;
- Use the Services for unlawful or fraudulent purposes;
- Infringe the rights of others;
- Upload viruses or harmful code; or
- Interfere with or disrupt the Services.
We reserve the right to suspend or terminate your access if you engage in prohibited conduct.
11. Third Party Links and Services
Our Services may contain links to third party websites or services that we do not control. We are not responsible for the content or privacy practices of those third parties. Your interactions with third party sites are governed by their own terms and policies.
12. Disclaimer of Warranties
We provide the Services and all products “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Services will be error free, uninterrupted or free of viruses or other harmful components.
13. Limitation of Liability
To the extent permitted by law, Xcedi and its directors, officers, employees and agents shall not be liable for any indirect, incidental, special or consequential damages arising out of or related to your use of or inability to use the Services. Our total liability for any claim relating to a product shall not exceed the purchase price you paid for that product.
14. Indemnification
You agree to indemnify and hold harmless Xcedi and its affiliates from and against any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your breach of these Terms or your misuse of the Services.
15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Republic of Ghana, without regard to conflict of law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Ghana. However, we may seek injunctive or other equitable relief in any jurisdiction to protect our intellectual property rights.
16. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will post the updated Terms on our website and indicate the effective date. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
